Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless UVIONIX, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
9. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of California located in Sacramento County, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
If you are a consumer in the European Economic Area or United Kingdom, you may also bring proceedings in the courts of your country of residence, and mandatory consumer protection laws of your jurisdiction may apply to your benefit.
10. Dispute Resolution
Any dispute arising from these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiations. If such negotiations are unsuccessful within thirty (30) days, either party may pursue legal remedies as set forth in the Governing Law section above.
11. Modifications to Terms
We reserve the right to revise and update these Terms at our sole discretion. All changes are effective immediately when we post them. 14. Entire Agreement
These Terms and our Privacy Policy constitute the sole and entire agreement between you and UVIONIX regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
